1. Who we are
These Terms govern your use of the NuPaas platform ("Service") operated by Type-Driven UG (haftungsbeschränkt), Germany ("we", "us"). By creating an account, accepting an invitation, or using the Service, you agree to these Terms on your own behalf and on behalf of any organization you represent.
2. Accounts and organizations
The Service is multi-tenant. Resources are scoped to an organization. Owners and admins of an organization may invite other users and grant them roles. You are responsible for keeping account credentials confidential and for any activity under your account, including activity by users you invite.
3. Acceptable use
You agree not to use the Service to:
- violate any law or third-party right;
- deploy workloads that distribute malware, perform unauthorized scans, or attack other systems;
- circumvent quotas, rate limits, billing, or access controls;
- impair the Service for other tenants (resource abuse, denial-of-service, lateral movement attempts).
We may suspend workloads or accounts that violate this section, with notice where practical.
4. Your content and workloads
You retain all rights to source code, container images, data, and other content you push to the Service ("Customer Content"). You grant us a limited license to host, transmit, and process Customer Content only as needed to provide the Service. We do not access Customer Content except (i) at your explicit request for support, (ii) to investigate suspected abuse, or (iii) where required by law.
5. Billing
Paid plans are billed in advance and metered usage is billed in arrears. Payment is processed by Mollie B.V. (Netherlands). Invoices are issued by the Type-Driven UG legal entity. Taxes (including VAT) apply as required. Failure to pay may result in suspension of paid features after notice.
6. Subprocessors and data location
Platform data is stored and processed in the European Union on Hetzner infrastructure (Germany). A current list of subprocessors, the categories of data they handle, and our processing roles are described on the privacy page.
7. Service availability
We aim for high availability but do not guarantee uninterrupted service. Scheduled maintenance, security incidents, and upstream provider outages may cause temporary disruption. Plan-specific service-level commitments, if any, are set out in the plan description at signup.
8. Termination
You may close your organization at any time. We may terminate or suspend the Service for material breach of these Terms or applicable law, with reasonable notice unless the breach is ongoing and severe. On termination you may export your data for a reasonable period; afterwards data is deleted in line with the privacy page.
9. Disclaimer and liability
The Service is provided "as is" to the maximum extent permitted by law. We disclaim implied warranties of merchantability, fitness for a particular purpose, and non-infringement. Our aggregate liability for any claim is limited to the fees you paid to us in the twelve months preceding the claim. Nothing in these Terms limits liability that cannot be limited under applicable law.
10. Changes
We may update these Terms. Material changes will be communicated to active customers via email or the in-product notification system at least 30 days before they take effect. Continued use of the Service after a change becomes effective constitutes acceptance of the updated Terms.
11. Governing law
These Terms are governed by the laws of Germany, without regard to its conflict-of-laws principles. Mandatory consumer protection rules of your country of residence still apply.
